Invesco Ltd. is seeking a trusted legal advisor within its U.S. Legal team to guide on registered investment products and related regulatory matters, focusing on mutual funds, closed-end funds and ETFs.

The role collaborates with Product, Investments, Compliance, Finance and Distribution to support disclosure, governance and product initiatives. The position oversees fund registration statements, shareholder reports, proxy materials, SEC filings and board materials, and guides launches, mergers

Qualifications

• Juris Doctor (JD) and active bar membership are required.
• 4–6 years of experience in securities matters related to investment companies.
• Experience at a major law firm, the SEC or asset management preferred.
• Strong background in regulatory disclosure and SEC interactions.
• Ability to translate complex legal issues into pragmatic guidance for senior leadership.

Responsabilités

• Fund Disclosure & SEC Filings (Core Focus): registration materials, prospectuses, supplements, information statements, PPMs, proxy statements and SEC Forms.
• Oversee product changes, mergers, reorganizations, shelf offerings, and regulatory changes.
• Prepare shareholder proxy materials, shareholder reports and board materials.
• Provide legal counsel to internal/external stakeholders balancing legal risk with business priorities.
• Collaborate with internal teams and outside counsel on regulatory implementation.
