Job summary

Maitsys is seeking an experienced Fractional General Counsel to become a trusted legal and business advisor as we continue to scale our global technology services and software businesses.

This role goes beyond contract reviews; you will understand the business, identify risks early, help structure transactions, and build the legal foundation for sustained growth while coordinating with executive leadership.

Qualifications

• 10+ years in corporate/commercial law with strong tech exposure.
• Experience with IT services, enterprise software/SaaS, M&A and international transactions.
• JD and active membership in at least one US state bar.

• Vendor, subcontractor and strategic partnership agreements.

Part-Time / Fractional | Approximately 10–20 hours/month

Maitsys is seeking an experienced Fractional General Counsel to become a trusted legal and business advisor as we continue to scale our global technology services and software businesses.

This is more than a contract-review role. We are looking for someone who can understand our business, identify risks early, help structure transactions, and build the legal foundation needed to support continued growth.

Key areas of responsibility include:

• Enterprise customer MSAs, SOWs, NDAs and commercial negotiations
• Vendor, subcontractor and strategic partnership agreements
• Corporate governance and risk management
• M&A support, including LOIs, due diligence and acquisition agreements
• Software/SaaS licensing and intellectual property
• AI, data privacy and technology-related legal matters
• Employment and independent-contractor agreements
• International and cross-border transactions
• Coordination and management of specialized outside counsel

Ideal Background

We are particularly interested in attorneys with 10+ years of experience in corporate/commercial law and substantial exposure to technology companies.

Experience with IT services, enterprise software/SaaS, M&A, intellectual property and international transactions is highly desirable.

Candidates should hold a JD and be an active member in good standing of at least one U.S. state bar.

Most importantly, we are looking for a business-minded attorney who can clearly explain risk, recommend practical solutions, and work directly with executive leadership.

We anticipate starting at approximately 10–20 hours per month, preferably under a predictable monthly retainer arrangement, with the opportunity for the relationship to grow alongside Maitsys.
