Job summary

Plaid seeks a capable Corporate Counsel to join the Business Legal team. You will handle corporate governance, board support, transactions, and regulatory compliance across US and international entities.

The role requires collaborating with finance, HR, and compliance teams to enable growth while maintaining strong governance and risk controls. The ideal candidate has 4+ years of experience, a JD, and US bar admission.

Qualifications

• 4+ years of relevant experience at a law firm or in-house counsel.
• Strong interest in fintech.
• US Bar admission in at least one state.
• Excellent written and verbal communication; strong business judgment.

Responsibilities

• Governance & Board support: prepare materials, maintain records, and ensure good standing for a late-stage private company.
• Assist in preparing for potential IPO and comply with securities laws and SEC regulations.
• Assist with periodic SEC filings and earnings materials after IPO readiness.
• Support corporate transactions, due diligence, drafting, and deal closings under senior counsel.
• Manage subsidiaries and affiliated entities, form/dissolve entities as needed.
• Monitor regulatory compliance and develop internal corporate policies and governance programs.
• Collaborate with Finance, HR, Stock Administration, and Compliance to address legal needs.
• Handle special projects and ad hoc tasks for a growing tech company.
