Job description

We’re partnering with a leading IPP to hire a Project Development & Finance Counsel for its in‑house legal team. The business develops, builds, finances and operates utility‑scale wind, solar and battery storage projects across North America.

This is a broad transactional role covering projects from early development through to commercial operation. You’ll report directly to a senior member of the legal leadership team and work alongside a small, highly experienced group of lawyers with long tenure and genuine room for you to grow.

You’ll sit close to the development team and be involved in deals from day one.

What you’ll do
  • Draft and negotiate offtake agreements, including PPAs and virtual PPAs
  • Support project financings, including construction and term debt, tax equity and tax credit transfers
  • Work on project acquisitions, sales and joint ventures, including MIPSAs, purchase agreements and LLC agreements
  • Advise on interconnection and transmission agreements and power market matters
  • Handle corporate governance, commercial contracts, NDAs and service agreements
  • Manage outside counsel and support diligence on financings and transactions
  • Give practical, commercial advice to development and finance teams
What you’ll bring
  • JD and active bar admission in a US state
  • 3-7 years’ experience at a law firm and/or in‑house, with a focus on renewable energy transactions
  • Hands‑on experience with some of: PPAs, project finance, tax equity or tax credit transfers, and project M&A
  • A practical, roll‑up‑your‑sleeves approach, and comfort working directly with business teams
  • Based in or willing to relocate to the Twin Cities, and able to be in the office at least 3 days of the week
  • A broad role across the full project lifecycle, not one narrow slice
  • Direct access to senior legal leadership, and a real path to grow
  • A stable, experienced team at a large, well‑capitalised platform
