Job summary

HireNow Staffing, acting as a direct placement partner, seeks a seasoned Executive Compensation Associate in the United States. The role focuses on executive compensation strategy within corporate transactions, with emphasis on mergers, equity compensation, and securities reporting.

A JD, active bar admission, and 4–6 years of related experience are required. Responsibilities include advising on compensation structures, negotiations of employment and incentive agreements, and ensuring compliance

Qualifications

• J.D. from an accredited law school.
• Active bar admission in the applying jurisdiction.
• 4–6 years of executive compensation law experience.
• Strong knowledge of Sections 409A, 280G, 83, 421–424 of the IRC.
• Experience advising on executive compensation in mergers and acquisitions.
• Experience supporting public company reporting and securities law compliance.
• Solid understanding of equity compensation programs and incentive arrangements.
• Excellent drafting, negotiation, and analytical skills.
• Superior written and verbal communication; strong academic credentials.

Responsibilities

• Advise corporate clients on executive compensation throughout the business lifecycle.
• Support mergers, acquisitions, restructurings, financings, and other strategic transactions with compensation and incentive programs.
• Draft, review, and negotiate employment agreements, change-in-control agreements, equity award documents, and incentive plans.
• Counsel on executive compensation compliance under tax and securities regulations.
• Provide guidance on equity incentive plans, stock options, RSUs, and long-term incentive programs.
• Assist with executive compensation disclosure for public company reporting.
• Collaborate with corporate, tax, securities, benefits, and M&A teams.
• Analyze evolving regulatory developments impacting compensation programs.
• Deliver practical legal solutions with attention to detail.
