Greenpoint Associates, LLC is a boutique consulting firm providing outsourced equity administration and stock plan management services to growth-stage and public companies. We’re looking for an experienced Equity Administration Consultant to support client stock plan operations on a part‑time, as‑needed, independent contractor (1099) basis. This is a flexible, project and deliverable‑based opportunity for someone who enjoys working independently, managing multiple priorities, and partnering directly with clients.
What You’ll Do
CORE EQUITY ADMINISTRATION
- Own day‑to‑day administration of stock options, restricted stock units (RSUs), restricted stock awards (RSAs), and ESPP transactions (grants, exercises, RSU settlements, releases, cancellations, and terminations), as applicable per the client need.
- Process grant modifications, including accelerated vesting, exercise‑period extensions, and updates to fair‑value assumptions.
- Maintain accurate capitalization tables and stock plan records in platforms such as Morgan Stanley, JP Morgan's system, and OptionTrax, or similar equity management systems.
- Perform periodic reconciliation of common share activity with the transfer agent, including DTC Deposit/Withdrawal at Custodian (DWAC) movement, where applicable to the client.
- Manage blackout periods and preclearance for market transactions where the client maintains an insider trading policy.
- Process new hire, termination, and leave‑of‑absence equity events, ensuring vesting schedules and plan documents are correctly reflected.
- Maintain a dedicated equity support inbox, provide first‑level employee support, and deliver employee education/training on plan terms and transactions.
- Support evaluation and migration to a successor equity administration platform when a client engagement calls for it, including vendor comparison and data conversion support.
DATA, PROCESS & AUDIT READINESS
- Clean up and reconcile outstanding grant acknowledgments and award inventory.
- Prepare and reconcile equity‑related reports for finance, legal, and tax stakeholders, including 409A support schedules, ASC 718 expense data, and cap table summaries.
- Support equity payroll‑tax processing for ISO dispositions and NSO/RSU taxable events, and reconcile accounting records for exercise and withholding activity.
- Support equity financial recordkeeping, including stock compensation expense, general ledger entries, and payroll‑related matters.
- Assist with year‑end and ad hoc equity compliance filings (e.g., Form 3921/3922, ISO/NSO reporting) in coordination with client tax advisors.
- Support clients preparing for a SOX audit by helping document equity‑related controls and IT general controls around the equity system, with the client retaining ultimate responsibility for audit readiness and final documentation.
- Maintain equity policy documentation and provide general equity consulting support to client stakeholders.
- Respond to employee and stakeholder inquiries regarding vesting, exercises, and account access.
- Flag discrepancies, process gaps, or compliance risks to the engagement lead and recommend corrective steps.
Qualifications
- 3–5 years of hands‑on equity or stock plan administration experience
- Strong working knowledge of ISOs, NSOs, RSUs, RSAs, and ESPPs
- Experience with at least one major equity administration platform
- Strong Excel/spreadsheet skills and experience reconciling equity data and cap tables
- Working knowledge of equity concepts including 409A, ASC 718, Section 16, blackout periods, and preclearance
- Excellent attention to detail and ability to handle confidential financial information
- Strong written and verbal communication skills, including the ability to work directly with clients and employees
- Ability to work independently, manage competing deadlines, and deliver accurate work without daily supervision
- Collaborative mindset and comfort working as part of a small consulting team
Preferred Experience
- CEP (Certified Equity Professional) designation or progress toward certification
- Consulting or outsourced equity administration experience
- Experience supporting multiple clients
- Public company experience, including transfer agent/DWAC reconciliation or Section 16 processes
- Experience with private‑company 409A, cap table cleanups, or equity platform migrations
- Exposure to SOX controls or IT general controls related to equity systems
- Part‑time / as‑needed, 15‑20 hours per week to start
