Job description

Responsibilities

The attorney in this position will support our Equity Capital Markets and Mergers & Acquisitions (M&A) teams. The candidate should have a strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934, with extensive experience in equity capital market transactions and M&A activities.

  • Provide legal counsel on equity capital market transactions such as IPOs, follow-on offerings, rights offerings, share buybacks, at-the-market offerings, direct listings, PIPEs, exchange offers, and private offerings under Section 4(a)(2), Regulation D, Rule 144A, and Regulation S.
  • Advise on M&A transactions, including due diligence, negotiation, and compliance with securities laws.
  • Collaborate with internal teams and external counsel to ensure adherence to regulations and best practices.
  • Review legal documents like offering documents, registration statements, and merger agreements for accuracy and compliance.

Profile Required

Division Description: The Legal Department aims to protect Societe Generale from legal and regulatory risks while supporting business interests through effective legal services. It oversees litigation, promotes ethical legal culture, and manages legal risks, working closely with the American Legal Department to align on policies and cross-border activities.
