Job Overview:
A well-established law firm is seeking a mid-level to senior Asset Management Associate to join its New York office. The ideal candidate will have between four to seven years of experience in fund formation, specifically in private equity funds and/or fund of funds work. This position offers the opportunity to represent leading private equity firms, pooled investment vehicles, investors, and distributors, providing a comprehensive range of legal services to clients in the asset management space.
Location:
Duties:
- Represent private equity firms, pooled investment vehicles, and other clients in the fund formation process.
- Advise on the formation, structuring, and regulatory compliance of private equity funds and fund of funds.
- Work on a wide range of legal matters, including negotiating fund terms, drafting fund documents, and handling investor relations.
- Assist clients with regulatory and tax compliance issues related to private funds.
- Support clients in raising capital and preparing offering materials.
- Advise clients on governance issues, risk management, and regulatory changes affecting the asset management industry.
- Maintain and foster relationships with clients, providing timely and strategic legal advice.
- Collaborate with other legal professionals and departments to support clients’ needs in various asset management matters.
- Stay up-to-date on legal and regulatory developments affecting private equity and investment funds.
Requirements:
- 4 to 7 years of experience in fund formation, with a focus on private equity funds or fund of funds work.
- Strong understanding of investment fund structures, regulatory frameworks, and industry standards.
- Experience advising clients on fund formation, investor relations, and regulatory compliance.
- Strong drafting skills, particularly in the context of fund formation documents, offering memoranda, and side letters.
- Ability to manage client relationships and provide proactive legal advice.
- Excellent problem-solving and analytical skills.
- Strong communication skills, both written and oral.
- Ability to work collaboratively in a team environment.
- Detail-oriented with the ability to handle complex legal matters.
Education:
- Juris Doctor (JD) from an accredited law school.
- Admission to the New York State Bar (or willingness to obtain).
Certifications:
- None required, but certifications or continuing education in asset management or fund formation is a plus.
