Qualifications

Responsibilities

• Advise clients on the structuring, formation, and ongoing operation of investment vehicles and related entities.
• Draft and negotiate offering materials, partnership and LLC agreements, governing documents, and investor side letters.
• Counsel clients on securities laws, investment transactions, tax considerations, and regulatory compliance.
• Address operational matters involving conflicts of interest, compliance, employment and consulting arrangements, and commercial agreements.
• Assist with the formation and governance of general partner and management company entities.
• Advise on investor admissions, separation arrangements, and loans involving funds and affiliated entities.
• Collaborate with clients and colleagues on complex transactions and regulatory matters.
