Overview

• Prior fund formation experience is not required; candidates with broader corporate or transactional backgrounds are encouraged to apply, provided they have a genuine interest in the venture capital and growth equity industry.
• Experience representing venture capital, private equity, or growth equity funds, and with ongoing investment firm operations and compliance with the Investment Company Act, the Investment Advisers Act, and the Securities Act, is advantageous.
• The Fund practice focuses on the structuring, formation, organization, and operation of venture capital, growth equity, and other private equity funds, including their general partner, management company, and related entities.
• The team represents a predominant share of leading growth equity and venture capital firms, both in the U.S. and internationally; the role is client-facing.
• Key responsibilities include advising funds through all operational stages (preparing offering materials, drafting governing agreements, negotiating with investors, and drafting side letters). The role also involves counseling fund managers on securities laws, investment structuring, and tax and regulatory matters, alongside advising on general fund operations, conflicts of interest, compliance, employment/commercial relationships, and internal entity governance.
• Strong preference for candidates licensed to practice law in Massachusetts or awaiting bar results.
