Job summary

Kelley Drye & Warren LLP's Corporate Practice Group seeks an Energy, Infrastructure and Commercial Transactions Associate with four to six years of experience to assist a growing practice focused on energy and power infrastructure and data-center development. The role involves substantial responsibility, client contact, and managing transactions from structuring to execution.

The candidate will draft and negotiate EPC, construction, equipment supply and related project documents, and advise on

Qualifications

• J.D. required from an accredited law school.
• Four to six years of relevant experience at a law firm, in-house, or combo.
• Strong drafting, analytical and negotiation skills.
• Experience with construction, project development, energy, infrastructure, or complex transactions.
• Ability to translate technical and operational issues into clear contractual requirements.

Responsibilities

• Draft, review and negotiate complex commercial and project agreements (EPC, construction, equipment supply, and related documents).
• Advise clients on project development, procurement, warranties, indemnities, and liability issues.
• Coordinate due diligence, document management, execution and closing requirements.
• Work with clients' legal, commercial, engineering, procurement and project-management teams.
• Provide business-focused contract administration guidance and issue resolution.
