Qualifikationen

• JD from an accredited U.S. law school.
• Admission to and good standing with the state bar of at least one U.S. state.
• 10+ years of experience supporting treasury, banking, broker-dealer, or financial services organizations through negotiation of securities lending, repurchase, forward transaction, and derivatives-related agreements.
• Knowledge of applicable securities, banking, and financial services laws and regulations.
• Experience reviewing, negotiating, and advising on complex financial transactions and legal documentation.
• Strong communication, collaboration, and relationship-building skills.
• Demonstrated ability to exercise sound judgment, manage competing priorities, and deliver practical legal solutions in a fast-paced environment.

Aufgaben

• Drafting, reviewing, and negotiating MSLA, GMRA, mortgage-backed securities forward agreements, and ISDA master agreements for derivatives hedging.
• Maintaining and updating standard forms and templates of master agreements.
• Reviewing Treasury-related agreements such as credit facilities, margin loans, custody and intercompany lending agreements.
• Advising on margin regulation and related broker-dealer regulations.
• Keeping management up to date on pertinent legal and regulatory developments.
• Taking on additional projects as bandwidth allows.
