Job summary

Pearce, a leading technology-enabled provider of asset management solutions across North America, seeks a Director, Contracts & Negotiations to lead review, negotiation, administration, and risk management of complex commercial agreements within service divisions.

You will partner with Sales, Operations, Finance, Procurement, Risk Management, and Corporate Administration to establish standards, improve contracting processes, and ensure commitments align with Pearce’s capabilities and business

Qualifications

• 10+ years of experience in commercial contracts, contract negotiations, procurement, or related discipline.
• 5+ years of progressive leadership experience.
• Experience reviewing and negotiating complex commercial agreements and MSAs.
• Strong understanding of EPC and Design-Build agreements, including risk allocation and change management.

Responsibilities

• Lead the review, drafting, redlining, and negotiation of MSAs, service agreements, EPC and Design-Build contracts.
• Develop negotiation strategies protecting commercial and financial interests while supporting revenue and customer objectives.
• Evaluate contractual requirements for EPC and Design-Build projects, including scope, schedule, and warranties.
• Identify contractual risks and develop practical solutions with cross-functional teams.
• Negotiate key terms including liability, indemnification, warranties, and payment terms.
• Ensure compliance with delegation of authority and contract approval requirements.
• Develop risk assessment standards and approval workflows for non-standard terms.
• Establish contract risk reporting, metrics, and performance measures.
• Coordinate contract renewals and communicate upcoming requirements to business teams.
• Develop and maintain standard terms, templates, and playbooks.
• Implement and optimize CLM processes and automation.
• Lead and mentor contracts professionals and provide negotiation training.
