Job summary

The Director will lead strategic initiatives, manage risk, and work cross-functionally with senior stakeholders to support the business.

Qualifications

• JD from a leading law school and 12+ years in securities reporting or corporate governance.
• Strong cross-functional relationship management with business partners.
• Strategic and practical legal judgment with integrity.
• Experience communicating across all organizational levels.

Responsibilities

• Work on U.S. securities law matters, including 10-K, 10-Q, 8-K filings and proxy statements.
• Advise on corporate governance and board materials.
• Advise on executive compensation and equity-related matters.
• Support public disclosures and investor relations communications.
• Support treasury activities and capital markets transactions.
• Oversee subsidiary management and intercompany agreements.
• Monitor regulatory developments affecting securities and governance.
• Develop and improve corporate processes, including AI tools.
• Manage and mentor a small team.
