The Director, Corporate Development, will serve as Omega’s accountable day-to-day M&A leader, creating value through disciplined inorganic growth by establishing a consolidated view of what Omega should acquire or partner with and why. This role translates Omega’s approved value-creation strategy into a focused acquisition and partnership agenda, developing prioritized market maps and pipelines, executing high-quality transactions, and ensuring that each completed transaction is measured against its approved strategic and financial thesis.
M&A Strategy and Portfolio Priorities:
- Partner with senior leadership, business leaders, the M&A Committee, and Board sponsors to maintain a clear buy-build-partner framework aligned with Omega’s value-creation plan.
- Develop and periodically refresh defined acquisition theses across priority customer segments, capabilities, technologies, geographies, and adjacencies.
- Distinguish structural M&A priorities from opportunistic situations and apply consistent strategic and financial screening criteria to both.
- Build and maintain market maps, ecosystem heat maps, target lists, and an enterprise-wide pipeline that clearly explains what Omega may acquire and why.
Origination and Pipeline Development:
- Build trusted relationships with founders, management teams, investment bankers, private equity firms, venture investors, industry advisers, and other relevant market participants.
- Proactively source proprietary opportunities while maintaining disciplined coverage of relevant marketed processes and inbound opportunities.
- Prioritize targets based on strategic fit, commercial attractiveness, financial profile, availability, valuation expectations, integration complexity, and expected value creation.
- Provide regular, concise pipeline reporting to the Executive Leadership Team, M&A Committee, Board, and financial sponsors.
Investment Underwriting and Recommendation:
- Lead strategic, commercial, financial, and valuation analysis for acquisitions, divestitures, joint ventures, minority investments, and strategic partnerships.
- Build and own operating models, valuation analyses, return scenarios, synergy cases, downside cases, and transaction-structure alternatives.
- Pressure-test management forecasts, strategic fit, customer and revenue synergies, cost assumptions, technology claims, integration requirements, and key risks
- Develop clear recommendations on valuation, price, structure, key terms, diligence priorities, and walk-away conditions.
- Prepare decision-ready materials for management, the M&A Committee, the Board of Directors, and financial sponsors.
Diligence and Transaction Execution:
- Lead the end-to-end transaction process from initial evaluation through signing and closing, including management of timelines, workstreams, advisers, and transaction costs.
- Coordinate cross-functional diligence across commercial, financial, legal, tax, operations, technology, cybersecurity, compliance, product, human resources, and other relevant functions.
- Maintain a consolidated diligence risk register and translate findings into price, structure, contractual protection, integration, remediation, or walk-away recommendations.
- Partner with internal and external legal and financial advisers on indications of interest, letters of intent, term sheets, definitive agreements, financing considerations, and closing requirements.
- Communicate effectively with target management teams, sellers, advisers, and internal stakeholders throughout the transaction process.
Integration and Value Realization:
- Ensure the integration thesis, executive sponsor, synergy owners, milestones, costs, risks, and governance are defined before closing.
- Partner with the designated integration leader and business sponsor to establish post-close scorecards and review performance against the approved investment case.
- Track revenue synergies, cost synergies, customer retention, cross-sell, technology or automation benefits, integration milestones, and actual returns versus underwriting.
- Conduct post-close reviews and incorporate lessons learned into future sourcing, diligence, underwriting, and integration practices.
M&A Operating Model & Administration:
- Establish and continuously improve Omega’s stage-gate process, standard screening criteria, valuation templates, diligence protocols, approval materials, and transaction governance.
- Clarify decision rights and responsibilities across Corporate Development, business sponsors, functional leaders, the M&A Committee, the Executive Leadership Team, the Board, and financial sponsors.
- Use external advisers selectively to supplement market coverage, specialized diligence, and transaction capacity while retaining internal ownership of strategy and recommendations.
- Handle highly confidential information with sound judgement, discretion, and integrity.
- Regularly participates in virtual meetings, training, coaching, audits, and other work-related interactions using Company-approved collaboration technology, including audio and video, as required by Company or client.
- Perform duties in compliance with Company’s policies and procedures, including but not limited to those related to HIPAA and compliance.
- Alignment of Board and management around a structured buy-build-partner framework and acquisition theses.
- A prioritized, actively managed pipeline of strategically relevant opportunities.
- High-quality, decision-ready investment recommendations with transparent assumptions, risks, and return expectations.
- Disciplined execution of approved transactions against agreed timelines, governance, and economics.
- Clear pre-close integration planning and post-close tracking of actual returns against underwriting.
