Job summary

Solutuslegal is seeking a Director, Assistant General Counsel, Corporate for a growing commercial orbital launch company. The role reports to the General Counsel and leads the corporate legal function in support of capital markets, governance, securities law, equity, and investor relations.

Based in Long Beach, CA or Washington, DC, you will build scalable processes, supervise the Senior Corporate Paralegal, and partner with CFO and board to drive strategic transactions and corporate structuring

Qualifications

• JD and active U.S. bar membership with 7+ years post-JD experience.
• Demonstrated complex capital markets and financing transaction experience.
• Strong corporate governance and securities law background.
• Ability to lead novel, high-stakes negotiations and cross-functional initiatives.

Responsibilities

• Lead capital markets, financing, governance, securities law, and equity initiatives.
• Oversee investor relations and communications with CFO and Board.
• Manage and mentor Senior Corporate Paralegal and corporate records.
• Structure optimum corporate frameworks for acquisitions and investments.
• Draft and negotiate material commercial agreements and contracts.
