Job summary

Intercontinental Exchange, Inc. is seeking a Director, Associate General Counsel to negotiate and close high-value enterprise SaaS agreements for the mortgage technology platform. This role reports to the General Counsel and requires in-office presence in Jacksonville, FL, Provo, UT, or Atlanta, GA with relocation support.

You will draft and negotiate complex deals, align with product and technology leaders, and advise stakeholders across the business on legal and commercial strategy.

Qualifications

• Law degree from an accredited U.S. law school and member in good standing in applicable state bar.
• 8+ years law firm and/or in-house experience, preferably counseling a technology company (SaaS).
• Prior experience at a major law firm strongly preferred.
• Direct experience negotiating enterprise SaaS agreements on the vendor side, especially with financial institutions.

Job Purpose

Director, Associate General Counsel will report to the General Counsel in the ICE Mortgage Technology business unit as an integral member of a small legal team that negotiates complex contracts for our enterprise mortgage technology SaaS solutions. You will personally draft, negotiate, and close the company's most complex, high-value enterprise SaaS agreements with mortgage lenders, servicers, banks, and strategic technology partners. This role requires full-time, in-office attendance in any of our Jacksonville, FL (preferred); Provo, UT; or Atlanta, GA offices, with relocation assistance available for qualified candidates. Responsibilities

• Draft, negotiate, and close complex enterprise SaaS agreements - with a focus on the company's most strategic and high-value customer transactions.
• Build and maintain an expert level of domain expertise over commercial contracting enabling both advocacy on behalf of the business with key customers and execution of business objectives with executive management.
• Gain a detailed understanding of the company’s solutions and work with product and technology leaders to ensure alignment with contracts.
• Act as a strategic partner and advisor, providing thoughtful and prompt legal and business guidance to all internal go-to-market stakeholders.
• Work collaboratively with other members of the legal team to address additional needs of the company, including helping to adopt new technologies and update templates and processes to better integrate with other divisions of the business unit.

Knowledge And Experience

• Law degree from an accredited U.S. law school and member in good standing in applicable state bar association
• 8+ years law firm and/or in-house experience, preferably counseling a technology company (SaaS commercial contracting)
• Prior experience at a major law firm strongly preferred
• Direct experience negotiating enterprise SaaS agreements on the vendor side - representing the technology provider in deals with financial institutions is strongly preferred
• Excellent drafting, negotiation, organizational, interpersonal, and communication skills
• Ability to lead diverse teams through complex negotiations of enterprise sales deals, keeping all tasks organized and stakeholders clearly informed of deliverables and timelines
• Comfort with handling topics such as revenue recognition, data privacy, and information security in customer contracts (partnering with relevant subject matter experts as necessary)
• Ability to understand business objectives and think creatively to find practical resolutions
• Self-starter and able to work well independently and as part of a team
