Job summary

Holland & Knight LLP is seeking a talented M&A Associate for its Cross Border M&A Team in the Miami office. The role focuses on complex domestic and international transactions, particularly involving the US and Latin America. The candidate will advise clients across public and private companies, private equity sponsors, and other market participants on a broad range of deals.

The role requires J.D. and licensure in the hiring jurisdiction, with in-person work three days per week.

Qualifications

• 3+ years of experience in mergers and acquisitions or related corporate transactions.
• Experience advising on cross-border deals involving US and Latin America.
• Strong drafting, negotiation, and analytical skills.
• Ability to manage multiple workstreams and meet deadlines in fast-paced deals.

Responsibilities

• Advise on domestic and international M&A, joint ventures, minority investments, and other strategic transactions.
• Draft, review, and negotiate purchase agreements, joint venture agreements, governance docs, and related materials.
• Coordinate diligence and deal execution across jurisdictions and teams.
• Advise on corporate governance, entity formation, ownership, and post-closing integration.
