Job summary

RC Law LLP seeks a Tax Associate/Senior Associate to join its growing tax practice in Miami, FL. The role focuses on sophisticated domestic and international deals, cross-border restructurings, and strategic tax planning. You will work directly with partners on high‑level matters, including due diligence and post‑closing integration.

Ideal candidates have 3+ years in transactional tax, strong drafting and client‑facing skills, and M&A tax experience. U.S. bar admission and LL.M.

Qualifications

• 3+ years of transactional, corporate, or M&A tax experience.

Responsibilities

• Work on cross-border restructurings and international tax planning.
• Perform tax due diligence for buy-side and sell-side transactions.
• Provide U.S. federal income tax guidance on M&A and reorganizations (Subpart F, GILTI, FDII/FDII).
• Analyze expatriation consequences for U.S. individuals.
• Assist with tax treaty analysis (LOB, PE, residence, withholding).
• Engage in general corporate tax advisory matters and drafting.
