Job summary

Bloom Energy is seeking a Securities and Governance counsel to join our team in San Jose, CA. This on-site role reports to the Senior Director, Securities & Corporate Governance and focuses on SEC compliance, governance programs, and strategic corporate transactions.

Ideal candidates have a JD with 10+ years of relevant experience, including at least 5 years at a law firm, and strong international focus. In-house public company background is preferred; manufacturing/energy experience is a plus.

Qualifications

• Minimum 10 years of directly related work experience.
• Law degree from an accredited school and a bachelor’s degree required.
• At least 5 years of experience at a law firm; in-house experience preferred.

Responsibilities

• Ensure compliance with SEC laws, NYSE rules and 1934 Act filings (10-Ks, 10-Qs, 8-Ks, proxies).
• Advise CFO, IR, Marketing and Legal on disclosures, press releases and investor communications.
• Lead governance programs, board meeting materials and minutes.
• Support equity and debt financings including acquisitions and joint ventures.
• Provide guidance on international expansion and regulatory interpretations.
• Support stock administration and Section 16 filings; oversee subsidiaries.
