Our client is a leading investment management firm specializing in investment solutions and portfolio management. They are seeking an experienced Assistant General Counsel with a strong background in investment management, private funds, private equity, and securities law to join their legal team.
In this role, you will:
- Advise on legal and regulatory matters relating to investment management, private funds, private equity, and other alternative investments.
- Advise on compliance with applicable federal securities laws and regulations, including the Investment Company Act of 1940 and Investment Advisers Act of 1940.
- Support the formation, structuring, management, and registration of investment funds, including mutual funds and private funds.
- Draft and review fund-related documentation, including limited partnership agreements, subscription agreements, side letters, offering materials, registration statements, and shareholder reports.
- Advise on private equity investments, fund investments, co-investments, and other alternative investment transactions.
- Attend fund board and committee meetings and advise on governance, fiduciary, regulatory, and compliance matters.
- Identify and manage legal and regulatory risks associated with investment management and fund operations.
- Conduct legal due diligence and provide transactional support for investments, M&A, and other strategic initiatives.
- Work closely with investment, compliance, business, and operational teams, as well as outside counsel, on a variety of investment management matters.
- Perform additional duties and special projects as assigned by Senior Corporate Counsel.
Must-Have Skills:
- 5+ years of relevant legal experience in investment management, private funds, private equity, or related financial services.
- Direct experience with private funds, fund formation, private equity, or alternative investments.
- Strong knowledge of U.S. securities laws and investment fund regulations.
- Experience advising investment advisers, asset managers, private funds, or institutional investors.
- Strong drafting, transactional, legal research, and due diligence skills.
Nice-to-Have Skills:
- Prior experience at a large or Am Law law firm.
- Experience with SEC regulatory matters, Investment Adviser compliance, or Investment Company Act matters.
- Experience with mutual funds or other registered investment products.
