• Advise clients on formation, structuring, and governance matters
• Draft and review operating agreements, bylaws, shareholder agreements, and resolutions
• Support mergers, acquisitions, and asset purchases with due diligence and closing documents
• Draft, review, and negotiate commercial contracts across industries
• Conduct legal research and prepare memoranda on corporate and business law issues
• Interact with clients and opposing counsel in meetings
• Collaborate with attorneys across practice areas and participate in business development
