Qualifications

• Active Pennsylvania Bar license required
• Experience with entity formation, governance documents, M&A, asset purchases, and commercial contracts

Responsibilities

• Advise clients on entity formation and general corporate matters
• Draft and review operating agreements, bylaws, and shareholder agreements
• Assist with mergers and acquisitions and asset purchase transactions
• Conduct and manage transactional due diligence
• Prepare transaction and closing documents and assist with closings
• Draft, review, and negotiate commercial contracts
• Collaborate with clients and other attorneys throughout corporate transactions
