Job summary

Direct Counsel seeks a Corporate and Securities Associate Attorney in New York with at least 2 years of experience to join a leading global law firm’s sophisticated Corporate and Securities practice.

The ideal candidate will handle mergers and acquisitions and private equity transactions, draft and negotiate complex transaction documents, and support deal teams from due diligence to closing. Admission to the NY Bar is required.

Qualifications

• 2+ years of experience in mergers and acquisitions and private equity transactions.
• Experience drafting and negotiating complex transaction documents.
• Admission to the New York Bar is required.

Responsibilities

• Represent buyers, sellers, and sponsors in M&A and private equity transactions.
• Draft, review, and negotiate primary transaction documents (P&S, merger agreements, disclosure schedules, reps & warranties).
• Manage transaction workstreams from due diligence through closing.
• Prepare due diligence memoranda and issue lists.
• Advise on legal, regulatory, and business considerations of transactions.
• Coordinate with cross‑practice teams (antitrust, environmental, real estate, tax, data privacy, IP).
• Review and edit opinions, correspondence, and other work product.
