Responsibilities

• Represent venture-backed and emerging growth companies, investors, and VC funds in sophisticated corporate transactions
• Lead and execute M&A transactions (acquisitions, dispositions, and related matters)
• Advise on late-stage and growth equity financings, secondary transactions, and liquidity events
• Serve as primary attorney on transactions, managing matters from due diligence through closing
• Draft and negotiate purchase agreements, financing documents, and related schedules
• Collaborate with CEOs, boards, general partners, and other senior client contacts
• Manage multiple complex transactions while coordinating across the firm

They are seeking a senior Corporate Associate to join their New York office, with a focus on M&A and Growth Equity transactions.

Responsibilities:

• Represent venture-backed and emerging growth companies, investors, and venture capital funds in sophisticated corporate transactions
• Lead and execute M&A transactions (acquisitions, dispositions, and related matters)
• Advise investors and companies on late-stage and growth equity financings, secondary transactions, and liquidity events
• Serve as a primary attorney on transactions, managing matters from due diligence through negotiation and closing
• Draft and negotiate purchase agreements, financing documents, disclosure schedules, and other transaction-related agreements
• Work with CEOs, boards of directors, general partners, and other senior-level client contacts
• Manage multiple complex transactions while working collaboratively with attorneys and clients across the firm
