The Corporate Paralegal will support Governance and Securities needs as a key member of the Corporate Legal team. The role focuses on delivering accurate, timely service while identifying opportunities for improvement and efficiency. This position reports to the Associate General Counsel, Corporate, and involves managing corporate governance, public company reporting, and a large US corporate structure. Based in Rosemont, Illinois, it offers a hybrid work model with three onsite days per week and remote work options.

Responsibilities:

  • Coordinate preparation and distribution of shareholder, board, and committee meeting materials using Diligent, and support quarterly and annual meetings.
  • Draft corporate resolutions, board minutes, consents, certificates, and related governance documents.
  • Assist with SEC filings, including 10K, 10Q, 8K reports, Proxy Statements, and Section 16 reports using Workiva and NYSE reporting standards.
  • Support quarterly dividend payments, including preparing notices and coordinating with Treasury and transfer agents.
  • Maintain documentation of corporate policies required by SEC or NYSE, including insider trading policies and participant lists.
  • Support SEC and NYSE requirements related to director and management equity, including drafting agreements and working with stock plan administrators and transfer agents.
  • Handle formation and dissolution of corporate entities, including filings and subsidiary maintenance.
  • Manage document systems for corporate entities, including stock certificates and minute books.
  • Oversee Board and officer administration, including director compensation, questionnaires, biographies, and contact info.
  • Assist with securities law compliance in transactions and restructurings, including data room setup and document drafting.
  • Provide legal and administrative support to the General Counsel and other legal team members in securities law, finance, and M&A areas.

Qualifications:

  • Minimum four-year college degree; paralegal certification and relevant experience preferred.
  • At least ten years of related paralegal and securities experience in a public company setting.

Knowledge, Skills, and Abilities:

  • Highly organized, detail-oriented, proactive, with experience maintaining accurate records and handling confidential information.
  • Proficient in Microsoft Office Suite, Workiva, Diligent, PDF tools, and other relevant software.
  • Professionalism and discretion to interact with senior management and directors.
  • Strong communication skills and ability to work accurately under deadlines in a fast-paced environment.
