Position Overview
We are seeking a highly experienced and detail-oriented Corporate Paralegal to join our remote team. As a Corporate Paralegal, you will play a key role in driving complex transactional and regulatory work involving entity formation, M&A, and aviation compliance, all within a fully remote team that values autonomy and precision.

Corporate and Compliance Responsibilities:
Entity Formation and Governance:
·Prepare and file documents for various types of entities, including corporations, LLCs, and partnerships. This includes formation, amendments, foreign registrations, assumed business names, mergers, dissolutions, and governance documents (such as Bylaws and Operating Agreements), filed directly with the appropriate Secretary of State or agency.
·Direct communication with clients to obtain necessary information related to the preparation of such corporation documentation.
·Creates minutes, resolutions, and consents, maintains corporate minute books, and maintains and files corporate maintenance records.
·Maintenance of the firm’s internal entity database as well as the firm’s database with outside registered agent provider.
Compliance and Reporting:
·Understanding of the Corporate Transparency Act and the requirements for initial and amended BOI reporting as determined by FinCEN.
·Track and maintain client requests for BOI reporting assistance.
·Prepares and files initial and amended BOI Reports with FinCEN.
·Understanding and ability to research annual compliance filing requirements in various states.
·Prepare and, timely and accurately, file such annual state filings and reports.
Legal Research and Documentation:
·Ability to review, understand and summarize complex legal agreements.
·Experience with legal research and fact finding.
Transactional and M&A Related Responsibilities:
Deal Preparation and Execution:
·Provide transactional support to lawyers and Senior Paralegal with mergers, acquisitions, financings, and other deal closings.
·Assist with legal project management, including the creation of closing checklists, preparation of document sets for distribution and post-closing preparation of closing binders and indices.
·Prepare UCC filings and conduct lien and judgment searches.
Aviation Transactions (with training provided as needed):
·Support aviation-related transactions, including aircraft purchases and sales.
·Assist with the preparation of legal documents related to aircraft registration, title transfers and FAA certification.
Tax and Regulatory Compliance (with training provided as needed):
·Assist in identifying sales and use tax requirements across various jurisdictions in connection with aviation and M&A transactions.
·Support lawyers and the Senior Paralegal in preparing documents and memoranda to comply with federal, state and local regulations affecting corporate aviation business activities.
Legal Research and Compliance:
·Conduct legal and factual research relevant to transaction support.
·Assist with the preparation of transaction-related legal and non-legal documents.

This is a senior-level role. For the right candidate, there may be opportunities to take on higher-level responsibilities over time, including mentoring or process leadership roles within the firm.
