Adams & Martin Group is seeking a Corporate Paralegal with corporate transactional experience to join its growing team. This role focuses on entity formations, governance, and M&A support, with attention to compliance in Delaware and California law.

The ideal candidate has a bachelor's degree and at least two years of corporate transactional paralegal experience, strong research and communication skills, and proficiency with Microsoft Office and Adobe.

Qualifications

• Bachelor's degree required.
• 2+ years of corporate transactional paralegal experience.
• Strong experience with entity formations and corporate governance.
• Knowledge of Delaware and California corporate law requirements.
• Experience supporting M&A, financing transactions, or securities matters is a plus.
• Strong legal research, organizational, and communication skills.
• Proficiency with Microsoft Office Suite, Adobe, and corporate record management systems.

Responsibilities

• Handle entity formations, foreign qualifications, mergers, acquisitions, conversions, and dissolutions.
• Prepare corporate governance documents, including board and shareholder resolutions and minutes.
• Maintain corporate records and assist with annual filings.
• Support transactional matters, including due diligence, closings, closing binders, and post-closing deliverables.
• Manage stock issuances, transfers, options, and capitalization records.
• Prepare UCC filings, lien searches, and various regulatory filings.
• Conduct legal and corporate research.
