Job summary

Holland & Knight's Tysons Office seeks a mid-level associate to join its Corporate M&A and Securities Practice. Ideal candidates will have 4-5 years of experience with an emphasis on M&A and private equity transactions.

Candidates must have a strong working knowledge of acquisition agreements and the full suite of documentation used in M&A and private equity transactions, as well as proficiency in drafting and negotiating the same.

Qualifications

• 4-5 years of experience in corporate M&A and securities.
• JD from ABA-accredited law school is required.
• Must be licensed in Virginia or eligible to waive into the Virginia Bar.
• Willing to work in the Tysons office at least three days per week.

Responsibilities

• Join the Corporate M&A and Securities Practice as a mid-level associate.
• Support private equity sponsors and portfolio companies through the investment lifecycle.
• Draft and negotiate acquisition agreements and related deal documents.
• Manage internal and external client relationships with professionalism.
• Collaborate with national/international firm teams to execute complex transactions.

Job Description

Holland & Knight's Tysons Office seeks a mid-level associate to join its dynamic Corporate M&A and Securities Practice. Ideal candidates will have 4-5 years of experience with an emphasis on M&A and private equity transactions. Candidates must have a strong working knowledge of acquisition agreements and the full suite of documentation used in M&A and private equity transactions, as well as proficiency in drafting and negotiating the same. A proven track record supporting private equity sponsors and portfolio companies across the investment lifecycle (initial platform acquisitions, add-ons, portfolio company governance and exits), and familiarity with middle-market deal structures, are strongly preferred. Candidate must have strong interpersonal and communication skills, a high degree of maturity and business sense, and the ability to effectively manage internal and external client relationships. Excellent academic credentials are required and large national or international law firm experience is preferred. In accordance with Pay Transparency Laws, the pay range for this position in Virginia is $310,000 - $365,000/yr. An individual's actual compensation will depend on the individual's qualifications and experience.
