A law firm in Chicago is seeking a Corporate (Finance) Associate Attorney with 3-4 years of experience in corporate and transactional law, specifically focused on Finance & Banking. The ideal candidate should possess excellent writing and analytical skills, a strong academic background, and must be admitted to practice in the jurisdiction.
Responsibilities:
- Provide legal counsel on a wide range of corporate finance matters, focusing on transactions in the Finance & Banking sector.
- Draft, review, and negotiate various corporate agreements and documents related to finance transactions, including loan agreements, credit facilities, securities offerings, and mergers and acquisitions.
- Conduct due diligence reviews and analysis in finance transactions, ensuring compliance with legal requirements and industry standards.
- Assist in structuring complex finance transactions and advising clients on legal and regulatory implications.
- Collaborate with senior attorneys and clients to develop and execute legal strategies that meet business objectives.
- Perform legal research and analysis to support client advice and prepare legal opinions.
Requirements:
- Juris Doctor (J.D.) degree from an accredited law school.
- Active membership in the State Bar of Illinois or eligibility for admission by waiver or examination.
- 3-4 years of experience practicing corporate and transactional law, with a focus on Finance & Banking.
- Strong understanding of corporate finance principles, including lending, secured transactions, and financial regulations.
- Excellent writing and analytical skills, with the ability to communicate complex legal concepts clearly and concisely.
