Job summary

Altera seeks a practical Corporate Counsel to join its Corporate Legal team in San Jose. You will support governance, securities disclosures, equity, talent, investor relations, and strategic corporate matters, partnering with senior leadership to drive crucial business decisions.

You will work with Finance, IR, and Communications on earnings releases, disclosures, and external communications while ensuring confidentiality and compliance across the organization.

Qualifications

• J.D. from an accredited law school and active California bar eligibility for in‑house practice.
• 5+ years of corporate legal experience at a leading law firm with governance, securities, capital markets, executive compensation, or governance matters.
• Strong foundation in corporate governance, drafting, and handling complex matters with deadlines.
• Ability to develop expertise in SEC reporting, public‑company disclosure, equity and executive compensation, and Board support.

Responsibilities

• Support the Board, committees, and stockholder meetings, including agendas, materials, minutes, resolutions, consents, and governance records.
• Lead or assist with SEC filings, proxy materials, registration statements, Section 16 filings, and insider‑trading compliance.
• Provide broad legal support to Finance on financial reporting, treasury, and strategic initiatives with stakeholders and outside advisors.
• Partner with Finance, Investor Relations, and Communications on earnings releases, investor presentations, and disclosures including Regulation FD considerations.
• Support equity and executive‑compensation matters including plans, award agreements, and related securities‑law compliance.
• Help develop legal processes, workflows, compliance infrastructure, and governance practices with internal stakeholders and outside counsel.

Altera is seeking a practical and collaborative Corporate Counsel to join its Corporate Legal team. Reporting to the Vice President, Corporate Legal, this attorney will support corporate governance, securities and disclosure, equity, talent, investor-relations, and strategic corporate matters. The role offers a strong law-firm-trained attorney the opportunity to become a trusted business partner to senior legal leadership and other key internal stakeholders.

What you will do

• Support the Board, committee, and stockholder-meeting processes, including agendas, materials, minutes, resolutions, consents, governance documents, and related corporate records.
• Lead the preparation of or assist with SEC filings, proxy materials, registration statements, Section 16 filings, disclosure controls, reporting calendars, insider-trading compliance, and related securities-law processes, as applicable.
• Provide broad legal support to Finance on financial reporting, treasury and other strategic initiatives, partnering with internal stakeholders and outside advisors as needed.
• Partner with Finance, Accounting, Investor Relations, and Communications on earnings releases, investor presentations, press releases, website disclosures, and other external communications, including Regulation FD considerations.
• Support equity and executive-compensation matters, including equity plans, award agreements, securities-law compliance, Compensation Committee materials, and related matters.
• Help develop or assist with legal processes, workflows, compliance infrastructure, and governance practices; coordinate effectively with internal stakeholders, service providers, and outside counsel.

The pay range below is for Bay Area California only. Actual salary may vary based on a number of factors such as job location, job-related knowledge, skills, experiences, trainings, etc. We also offer incentive opportunities that reward employees based on individual and company performance. $209.5K - $250.0K USD

Qualifications

• J.D. from an accredited law school and active membership in good standing in California; eligibility to practice in-house in California.
• 5+ years of relevant corporate legal experience at a leading law firm, with substantive training in corporate, securities, capital markets, executive compensation, or corporate-governance matters.
• Strong foundation in corporate governance, corporate legal drafting, and managing complex matters with close attention to detail and deadlines.
• Experience with, or a demonstrated desire to develop expertise in, SEC reporting, public-company disclosure, equity compensation, executive compensation, and Board support.
• Ability to independently drive assigned workstreams, exercise sound judgment, and appropriately identify and escalation (typo?).
• Strong written, verbal, analytical, organizational, and project-management skills. Ability to build trusted relationships across functions and work effectively in a fast-paced, collaborative environment.
• Sound judgment, integrity, discretion, and the ability to handle highly confidential information.
• Ability to work from in-office location in San Jose.
• Experience with Workiva, Diligent, equity-administration platforms, or comparable corporate-legal tools.
