Job summary

Talently invites an experienced Technology Transactions Counsel to join the hybrid Irvine, CA office. You will draft, review, and negotiate software licenses, SaaS arrangements, NDAs, and related technology contracts, advising business teams on risk, IP rights, and licensing structures.

The role requires a JD with CA bar membership and 4–12 years in tech contract law, including vendor and licensing experience. Notary Public in CA or willingness to obtain is required.

Qualifications

  • JD from an accredited law school and active bar membership.
  • 4–12 years of experience in corporate/commercial contract law in the tech industry.
  • Active Notary Public commission in California (or willingness to obtain).
  • Proven expertise in drafting and negotiating commercial agreements including NDAs, MSAs, licensing, SaaS, and vendor contracts.
  • Strong analytical, communication, and risk-assessment skills.
  • Ability to manage multiple contracts and competing deadlines independently.

Responsibilities

  • Draft, review, and negotiate technology and commercial agreements including software licenses, SaaS, partnerships, NDAs, supply and distribution agreements, and professional services agreements.
  • Advise business teams on technology transactions, IP rights, licensing structures, confidentiality, risk allocation, and other terms.
  • Lead or support negotiations of complex, high-value transactions from structure through execution.
  • Partner with cross-functional teams to facilitate transactions and provide practical legal guidance.
  • Develop and maintain contract templates, playbooks, and best practices.
  • Support strategic corporate initiatives including M&A as needed.

Job Title: Technology Transactions Counsel

Location: Hybrid - Irvine, California, United States (4 days/ week in Office)

Salary: $175,000-$230,000 + Bonus (and equity)

About the Opportunity:

Join a global technology company that develops and delivers advanced hardware, software, and technology solutions to customers and partners worldwide. The legal team works closely with business and technical stakeholders on strategic technology transactions and commercial relationships.

Responsibilities:

  • Draft, review, and negotiate technology and commercial agreements, including software and technology licenses, SaaS agreements, strategic partnerships, NDAs, supply agreements, distribution/reseller agreements, and professional services agreements
  • Advise business teams on technology transactions, intellectual property rights, licensing structures, confidentiality, risk allocation, and other deal terms
  • Lead or support negotiations of complex and high-value transactions from initial deal structure through execution
  • Partner with business development, sales, finance, operations, and technical teams to facilitate transactions and provide practical, business-oriented legal guidance
  • Develop and maintain contract templates, playbooks, and best practices
  • Support strategic corporate initiatives, including M&A and other special transactions as needed

Must-Have Skills:

  • Juris Doctor (JD) from an accredited law school and active bar membership.
  • 4-12 years of experience in corporate/commercial contract law in the tech industry
