Responsibilities

  • Draft, review, and negotiate a broad portfolio of commercial contracts (agent, carrier, vendor, NDAs).
  • Provide risk assessment and strategic legal advice to leaders.
  • Lead contract negotiations with agents, carriers, and vendors.
  • Develop templates, playbooks, and negotiation guidelines.
  • Support the General Counsel and cross-functional teams as needed.
  • Oversee contract lifecycle and recordkeeping in the CMS.

We are excited to bring a Corporate Counsel to our growing organization. In this role, you will serve as a legal advisor to the business, independently drafting, negotiating, and managing a broad portfolio of commercial agreements with our agent network, carriers, and vendors. You will exercise independent legal judgment, provide risk assessment and business-facing counsel, and help shape contract strategy and policy. You will report directly to the General Counsel and partner closely with leadership across the organization.

Responsibilities
  • Independently draft, review, and negotiate a wide range of commercial contracts, including agent agreements, carrier agreements, vendor agreements, settlement agreements, NDAs, and amendments.
  • Provide substantive legal analysis and risk assessment on contract terms, and advise business stakeholders on legal exposure and mitigation strategies.
  • Serve as the primary point of contact for contract negotiations with agents, carriers, and vendors, exercising independent authority to resolve terms within established risk parameters.
  • Advise the General Counsel and business leaders on contract strategy, policy development, and process improvements.
  • Develop and maintain standard contract templates, playbooks, and negotiation guidelines to scale the contracting process.
  • Oversee and provide quality control throughout the contract lifecycle, including intake, drafting, execution, and recordkeeping within the contract management system.
  • Partner with cross-functional teams, including Sales, Operations, and Finance, to structure deals that balance legal risk with business objectives.
  • Supervise and mentor paralegal or contract administration staff.
  • Manage multiple high-priority matters simultaneously, including research, litigation management, and transactional matters, while adjusting priorities in a fast-paced environment.
  • Provide additional support to the legal department as needed.
Requirements
  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law and in good standing (North Carolina bar admission preferred or eligibility for admission by comity/reciprocity).
  • Minimum of three years of relevant legal experience in contract drafting and negotiation, either in-house or at a law firm.
  • Logistics, transportation, supply chain, or employment law experience preferred, but not required.
  • Excellent oral and written communication skills, with the ability to explain legal concepts clearly to non-legal stakeholders.
  • Strong judgment in prioritizing competing demands and managing risk under time pressure.
  • Ability to work independently and exercise sound legal discretion with minimal supervision.
  • Team-first mindset with a willingness to roll up your sleeves and support tasks across the legal department and broader business, regardless of level or title, as needed.
  • Employment law experience is a plus.
