Eleo in Houston seeks a Corporate Counsel to serve as a strategic legal partner for a dynamic global freight forwarding and logistics organization. Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in the State of Texas.
  • Three or more years of experience practicing commercial or contracts law in a corporate legal department and/or law firm.
  • Authorization to work in the United States on a permanent basis without employer sponsorship.

In this role, you will collaborate with leaders across Operations, Sales, Finance, Procurement, and other key business functions to structure commercial transactions, navigate legal and regulatory matters, and help drive sound business decisions. What You'll Do
Serve as a Strategic Legal Partner
  • Provide timely, practical, and commercially focused legal counsel to business leaders across the organization.
  • Partner with cross-functional teams to support strategic initiatives, operational priorities, and revenue-generating opportunities.
  • Translate complex legal issues into clear, actionable guidance that enables informed business decisions.
Lead Commercial Contracting
  • Draft, review, negotiate, and manage a diverse portfolio of commercial agreements supporting domestic and international logistics operations, including:
  • Freight forwarding and logistics service agreements
  • Carrier, brokerage, warehousing, supplier, and vendor contracts
  • Non-Disclosure Agreements (NDAs)
  • Statements of Work (SOWs)
  • Rate agreements and related commercial documentation
  • Identify legal, financial, and operational risks while developing creative solutions that protect the company's interests and support business objectives.
  • Partner with internal stakeholders to efficiently negotiate agreements while maintaining strong customer and vendor relationships.
  • Manage contracts throughout their lifecycle, from initial intake through execution, implementation, renewal, and record retention.
  • Ensure compliance with internal governance standards, approval processes, and corporate policies.
  • Continuously improve legal operations by developing and maintaining contract templates, negotiation playbooks, and standard legal positions that increase efficiency and consistency.
Mitigate Risk and Support Compliance
  • Advise business teams on legal and regulatory matters impacting global transportation and logistics operations.
  • Provide guidance on cargo claims, allocation of liability, customs compliance, carrier and brokerage relationships, and commercial dispute resolution.
  • Proactively identify legal and commercial risks and develop practical strategies to mitigate exposure while enabling business growth.
  • Support and mentor paralegals, fostering professional development and strengthening the capabilities of the Legal team.
What You'll Bring
Required Qualifications
  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in the State of Texas.

Preferred Qualifications
  • Experience supporting organizations within freight forwarding, logistics, transportation, or supply chain industries.
  • Working knowledge of transportation law and commercial frameworks, including bills of lading, Incoterms®, carrier liability, and related regulations.
  • Experience negotiating cross-border or international commercial agreements.
  • Familiarity with compliance programs, cargo claims management, regulatory matters, and commercial dispute resolution.

This position is based both on-site at the designated office location, as well as at home and requires regular use of standard office technology and equipment. The role involves extended periods of sitting or standing, consistent attendance, and the ability to perform the essential functions of the position.
