The Associate will play an active role in structuring, negotiating, and executing complex transactions and will have meaningful client contact. The position provides exposure to clients across a variety of industries, with a particular emphasis on health care and other heavily regulated industries.Ideal candidates should have 4 – 5 years of experience working with private equity funds, independent sponsors, portfolio companies and founder owned businesses in connection with M&A transactions and day-to-day corporate matters. Health care industry experience is welcome but not required. Candidates should have demonstrated experience:Drafting and negotiating transaction documents for M&A transactions;Preparing and negotiating governing documents, including bylaws, operating agreements, and partnership agreements;Managing key aspects of transactions with increasing independence, including coordinating due diligence and supervising junior attorneys; andWorking directly with clients and collaborating effectively within deal teams.Candidates should possess a strong academic background and superior drafting skills and must be diligent, detail-oriented, proactive, team-oriented, and personable.
