Job summary

Am Law 100 law firm is seeking a Licensing Associate with at least 3 years of relevant experience to join its growing Life Sciences and Technology Transactions team. You will draft, review, and negotiate a wide range of commercial agreements.

You will work closely with business teams, in-house counsel, scientists, and executives, advising on contract interpretation, risk, and regulatory matters, and supporting diligence for corporate transactions.

Qualifications

• ABA-accredited law degree (J.D. or LL.M.).
• Admitted or eligible to practice in CA or MA.
• 3+ years drafting/negotiating life sciences and/or tech commercial agreements.
• Biology/biochemistry background preferred.
• Strong IP knowledge (patents, trademarks, copyrights, trade secrets).
• Experience with software licensing and SaaS agreements.
• Familiarity with data privacy in commercial agreements and AI issues.

Responsibilities

• Draft, review, and negotiate a wide variety of commercial agreements (CDAs, MDAs, NDAs, license, collaboration, distribution, services).
• Advise on contract interpretation, risk assessment, and regulatory compliance.
• Support diligence and contracts review for strategic and corporate transactions.
• Review IP assets and related contractual obligations.
• Manage high-volume contracting matters including standard terms and confidentiality agreements.
• Collaborate with cross-functional stakeholders to align legal strategies with business goals.
• Monitor developments in regulatory and industry trends affecting life sciences and tech transactions.

Job Details

The successful candidate will work closely with business teams, in-house counsel, scientists, and executives on a broad range of commercial and strategic transactions. Responsibilities include:

• Drafting, reviewing, and negotiating a wide variety of commercial agreements, including:
• Research and development agreements
• Clinical trial agreements
• Manufacturing and supply agreements
• Services agreements
• Patent license agreements and assignments
• Nondisclosure agreements (NDAs)
• Material transfer agreements (MTAs)
• Distribution agreements
• Collaboration and strategic alliance agreements
• Development and commercialization agreements
• Advising clients on contract interpretation, risk assessment, and regulatory compliance matters
• Supporting strategic and corporate transactions through diligence and contract review
• Reviewing intellectual property assets and related contractual obligations
• Managing high-volume commercial contracting matters, including confidentiality agreements, customer agreements, and standard terms and conditions
• Collaborating with cross-functional stakeholders to align legal strategies with business objectives
• Monitoring legal, regulatory, and industry developments impacting life sciences and technology transactions

Qualifications

• J.D. or LL.M. from an ABA-accredited law school
• Admitted to practice, or eligible for admission, in California or Massachusetts
• 3+ years of experience drafting and negotiating commercial agreements for life sciences and/or technology clients within a law firm environment
• Educational background in biology, immunology, biochemistry, or a related scientific discipline preferred
• Strong understanding of intellectual property law, including patents, trademarks, copyrights, and trade secrets
• Experience with software licensing, SaaS agreements, and technology transactions is preferred
• Familiarity with data privacy considerations in commercial agreements and an understanding of emerging AI-related issues
• Experience representing clients in one or more of the following sectors:
• Biotechnology
• Pharmaceuticals
• Digital health
• Life sciences
