Salary: $230,000 - $350,000 per year
Job Details
The successful candidate will work closely with business teams, in-house counsel, scientists, and executives on a broad range of commercial and strategic transactions. Responsibilities include:
- Drafting, reviewing, and negotiating a wide variety of commercial agreements, including:
- Research and development agreements
- Clinical trial agreements
- Manufacturing and supply agreements
- Services agreements
- Patent license agreements and assignments
- Nondisclosure agreements (NDAs)
- Material transfer agreements (MTAs)
- Distribution agreements
- Collaboration and strategic alliance agreements
- Development and commercialization agreements
- Advising clients on contract interpretation, risk assessment, and regulatory compliance matters
- Supporting strategic and corporate transactions through diligence and contract review
- Reviewing intellectual property assets and related contractual obligations
- Managing high-volume commercial contracting matters, including confidentiality agreements, customer agreements, and standard terms and conditions
- Collaborating with cross-functional stakeholders to align legal strategies with business objectives
- Monitoring legal, regulatory, and industry developments impacting life sciences and technology transactions
Qualifications
- J.D. or LL.M. from an ABA-accredited law school
- Admitted to practice, or eligible for admission, in California or Massachusetts
- 3+ years of experience drafting and negotiating commercial agreements for life sciences and/or technology clients within a law firm environment
- Educational background in biology, immunology, biochemistry, or a related scientific discipline preferred
- Strong understanding of intellectual property law, including patents, trademarks, copyrights, and trade secrets
- Experience with software licensing, SaaS agreements, and technology transactions is preferred
- Familiarity with data privacy considerations in commercial agreements and an understanding of emerging AI-related issues
- Experience representing clients in one or more of the following sectors:
- Biotechnology
- Pharmaceuticals
- Digital health
- Life sciences
