Qualifications

• 3+ years of corporate transactional experience, ideally with exposure to M&A, venture capital, securities, emerging growth companies, or general corporate matters.
• Strong drafting, negotiation, and client communication skills.
• Experience managing deal documents, diligence, closings, and corporate governance matters.
• Comfortable working with founders, executives, investors, and business owners.
• Ability to balance multiple transactions and deadlines while maintaining strong attention to detail.
• Entrepreneurial mindset with the ability to provide practical, responsive, business-oriented legal advice.

Responsibilities

• Drafting, reviewing, and negotiating corporate and transactional documents, including purchase agreements, operating agreements, shareholder agreements, financing documents, board consents, corporate governance materials, and commercial contracts.
• Supporting mergers and acquisitions, venture financings, private placements, securities compliance, entity formation, corporate restructurings, and other business transactions.
• Advising startups, emerging growth companies, investors, and private businesses on day-to-day corporate matters.
• Managing diligence requests, disclosure schedules, closing checklists, transaction timelines, and deal-related communications.
• Working directly with clients, opposing counsel, investors, and internal deal teams to move transactions efficiently from kickoff through closing.
• Assisting with corporate governance, equity matters, securities filings, and ongoing business advisory needs.
• Providing practical, business-minded legal guidance in a fast-paced, entrepreneurial environment.
