Qualifications

• 2+ years of corporate law experience focusing on M&A.
• Experience handling complex M&A transactions at a law firm.
• Strong drafting, negotiation, and analytical skills.
• Ability to manage multiple transactions and deadlines in a fast-paced environment.
• Excellent written and verbal communication skills.
• Licensed and in good standing in at least one U.S. jurisdiction.

Responsibilities

• Represent public and private companies, private equity sponsors, and strategic investors in domestic and cross-border M&A transactions.
• Draft, review, and negotiate purchase agreements, merger agreements, disclosure schedules, and ancillary transaction documents.
• Manage due diligence processes and coordinate with specialists across tax, finance, and regulatory teams.
• Support deal execution from initial structuring through closing.
• Interact directly with clients, opposing counsel, and internal deal teams.
• Assist with general corporate matters, including entity formation, governance, and commercial agreements, as needed.
