Responsibilities
  • Advising on a wide range of corporate law matters, including M&A, joint ventures, corporate governance, and commercial contracts.
  • Conducting comprehensive due diligence investigations to identify legal risks and issues in business transactions.
  • Drafting, reviewing, and negotiating a wide range of legal documents, including contracts, agreements, and corporate governance documents.
  • Providing legal advice to the board of directors and senior management on corporate governance matters.
  • Assisting with the development and implementation of corporate policies and procedures to ensure compliance with applicable laws and regulations.
  • Advising on the legal aspects of strategic initiatives and projects.
  • Collaborating with other members of the legal team and business units to ensure the company's legal interests are protected.
  • Keeping abreast of changes in corporate law and governance practices to ensure the company is in compliance with all relevant laws and regulations.
Qualifications
  • A Juris Doctor (JD) degree from an accredited law school.
  • A minimum of 3 years of experience in corporate law, preferably within a large law firm or corporate legal department.
  • Extensive knowledge of corporate law and governance principles and practices.
  • Proven experience conducting due diligence in complex business transactions.
  • Excellent legal drafting and negotiation skills.
  • Strong analytical and problem-solving skills, with the ability to handle complex legal issues.
  • Excellent communication and interpersonal skills, with the ability to effectively interact with all levels of the organization.
  • High degree of professional ethics and integrity.
  • Ability to work independently and as part of a team.
  • Ability to manage multiple tasks in a fast-paced environment.
  • Admission to the state bar is required.
