Job summary

Jobot is seeking a Corporate Associate for a national AmLaw200m law firm. The role covers a broad range of corporate matters including governance, due diligence, and contracts. You will interact with the board and senior management to support corporate initiatives.

The ideal candidate has a JD and at least 3 years in corporate law, with strong drafting, negotiation, and analytical skills. A collaborative, high-ethics environment with competitive compensation awaits.

Qualifications

Responsibilities

  • Advise on M&A, joint ventures, governance, and commercial contracts.
  • Conduct due diligence to identify legal risks in deals.
  • Draft, review, and negotiate contracts and governance documents.
  • Provide legal advice to the board and senior management on governance matters.
  • Assist with developing and implementing corporate policies to ensure compliance.
  • Advise on legal aspects of strategic initiatives and projects.
  • Collaborate with other legal and business teams to protect the company’s interests.
  • Stay updated on changes in corporate law and governance practices.

Responsibilities
  1. 1. Advising on a wide range of corporate law matters, including M&A, joint ventures, corporate governance, and commercial contracts.
  2. 2. Conducting comprehensive due diligence investigations to identify legal risks and issues in business transactions.
  3. 3. Drafting, reviewing, and negotiating a wide range of legal documents, including contracts, agreements, and corporate governance documents.
  4. 4. Providing legal advice to the board of directors and senior management on corporate governance matters.
  5. 5. Assisting with the development and implementation of corporate policies and procedures to ensure compliance with applicable laws and regulations.
  6. 6. Advising on the legal aspects of strategic initiatives and projects.
  7. 7. Collaborating with other members of the legal team and business units to ensure the company's legal interests are protected.
  8. 8. Keeping abreast of changes in corporate law and governance practices to ensure the company is in compliance with all relevant laws and regulations.
Qualifications
  1. 1. A Juris Doctor (JD) degree from an accredited law school.
  2. 2. A minimum of 3 years of experience in corporate law, preferably within a large law firm or corporate legal department.
  3. 3. Extensive knowledge of corporate law and governance principles and practices.
  4. 4. Proven experience conducting due diligence in complex business transactions.
  5. 5. Excellent legal drafting and negotiation skills.
  6. 6. Strong analytical and problem-solving skills, with the ability to handle complex legal issues.
  7. 7. Excellent communication and interpersonal skills, with the ability to effectively interact with all levels of the organization.
  8. 8. High degree of professional ethics and integrity.
  9. 9. Ability to work independently and as part of a team.
  10. 10. Ability to manage multiple tasks in a fast-paced environment.
  11. 11. Admission to the state bar is required.
