Job summary

Momentum Search Partners seeks a mid- to senior-level Corporate Associate for a leading Am Law 100 firm. The role covers sophisticated M&A, private equity, and general corporate matters for top-tier clients on a national platform with a collaborative culture.

You will represent public and private companies, draft and negotiate complex transaction documents, and run due diligence. Mentoring junior associates is expected.

Qualifications

• Diploma: J.D. from ABA-accredited law school and bar admission in Texas or eligible to waive in.
• 2–8 years of corporate transactional experience at Am Law 200 or comparable firm.
• Hands-on experience with M&A and/or private equity transactions.

Momentum Search Partners is working with a highly regarded Am Law 100 firm to hire a mid- to senior-level Corporate Associate. The firm is coming off record financial results and is investing in its corporate platform. You’ll work on sophisticated M&A, private equity, and general corporate matters for top-tier clients, with a national platform and a collaborative culture behind you.

What you’ll do

• Represent public and private companies, private equity sponsors, and portfolio companies in mergers, acquisitions, divestitures, and investments
• Draft and negotiate purchase agreements, merger agreements, and related transaction documents
• Run due diligence and manage deal workstreams from signing through closing
• Advise clients on corporate governance and general corporate matters
• Work directly with clients and mentor junior associates

What we’re looking for

• J.D. from an ABA-accredited law school, and admission to the Texas bar or eligibility to waive in
• 2 to 8 years of corporate transactional experience, ideally at an Am Law 200 or comparable firm
• Hands-on experience with M&A and/or private equity transactions
• Strong drafting, negotiation, and project management skills
• A solid academic record and a collaborative, client-focused approach

Compensation and benefits

• Base salary: $245,000 to $455,000, lockstep by class year on the market scale
• Year-end bonuses on the market scale, plus any special bonuses the firm pays
