Job summary

VaynerX, LLC is seeking a legal contracts professional to draft, review, and negotiate MSAs and SOWs for digital media and tech clients. You will serve as the primary contracts contact for cross‑functional teams, coordinate internal approvals, and leverage AI drafting tools to improve workflows.

The role requires a J.D. and NY bar admission, with hybrid in-office work and strong focus on efficient contracting and risk management.

Qualifications

• Experience drafting, reviewing, and negotiating commercial contracts (MSAs and SOWs).
• Background in agency, in-house legal, procurement, or law firm in digital media/advertising/tech.
• Strong understanding of common contract terms: scope, payment, IP, indemnification, liability cap, confidentiality, data protection.
• Interest in digital world, social media and emerging tech.
• Comfort with AI drafting tools and intake/ticketing platforms.
• Excellent written and verbal communication; ability to explain terms to non-legal colleagues.
• Strong organizational and project management skills for high-volume agreements.

Job description

What You’d Do

• Draft, review, and negotiate client statements of work (SOWs), vendor master services agreements (MSAs), and related commercial documents such as NDAs, change orders, amendments, order forms, and insertion orders.
• Develop a deep understanding of current client MSAs to support efficient contract intake, drafting, and negotiation of client-related documents.
• Serve as the main contracts contact for project managers, finance, and other departments: gather deal requirements, explain contract terms in plain language, and coordinate internal approvals.
• Use and learn VaynerX’s AI-powered tools to help draft, review, and compare contracts, and provide feedback to improve these tools and their workflows.
• Manage the contract lifecycle from intake through signature, including tracking contract status, key dates, renewals, and obligations, and keeping accurate records in our internal systems.
• Maintain, update, and improve our standard form agreements, templates, clause libraries, and negotiation playbooks, helping make contracting processes simpler and more efficient.
• Work with the Central Operations team and support the global Legal team, including escalating non-standard terms, high-risk issues, and complex legal questions to senior Legal team members as appropriate.

What You’ve Got

• BA/BS degree and J.D. degree required, with active admission in good standing to at least one U.S. state bar. New York Bar admission preferred; candidates admitted elsewhere must be registered, or eligible to register, as In-House Counsel in New York.
• Experience drafting, reviewing, and negotiating commercial contracts (especially MSAs and SOWs), ideally at an agency, in-house legal, procurement, or contracts team, or law firm in digital media, advertising, or technology.
• Working knowledge of common commercial contract terms, including scope of work, payment terms, intellectual property ownership, indemnification, limitation of liability, confidentiality, and data protection provisions.
• A strong and demonstrated interest in the digital world, social media, and emerging technology.
• Comfort with technology and willingness to learn AI-powered drafting and contract management tools; experience with intake or ticketing platforms is a plus.
• Excellent written and verbal communication skills, including the ability to explain contract terms clearly to non-legal colleagues and work well with internal and external stakeholders.
• Quick learner with a strong work ethic and demonstrated initiative, responsibility, and attention to detail.
• Strong organizational and project management skills, with the ability to manage a high volume of agreements, prioritize competing deadlines, and work in a fast-paced environment.
