Contract Attorney Job Description

The Contract Attorney plays a pivotal role in the Company’s operations, involving creation, negotiation, review, and execution of contracts, ensuring they are legally sound and align with the organization’s strategic objectives and company policies. This position requires a meticulous eye for detail, a profound understanding of contract law, and exceptional negotiation skills.

In this role, the Contract Attorney will have access to sensitive company data, Protected Health Information (PHI), and Electronic Protected Health Information (EPHI). This dual role position will be for both companies, Heritage Biologics and Summit SD. The Contract Attorney will report directly to the Vice President at each organization.

Job Responsibilities And Essential Functions
  • Draft, review, negotiate, and finalize contracts including NDAs, MSAs, SOWs, procurement agreements, manufacturing contracts, distribution agreements, consulting agreements, vendor agreements, and other business development contracts.
  • Ensure contracts comply with FDA, DEA, state pharmacy boards, and other regulatory requirements.
  • Provide legal analysis and recommendations regarding contract disputes, compliance risks, and liabilities related to pharmaceutical distribution and reimbursement agreements.
  • Ensure contract terms are favorable and aligned with business standards and policies.
  • Collaborate with internal teams to evaluate legal, compliance, financial, and business risks.
  • Create and oversee the contract management system, implementing process improvements.
  • Manage relationships with outside counsel and oversee the contract lifecycle.
  • Conduct legal research on relevant laws and regulations affecting operations.
  • Assist in implementing new policies and procedures.
Required Qualifications
  • Juris Doctor (JD) from an accredited law school.
  • Active law license in Missouri.
  • Minimum 5 years of experience in contract or corporate law, preferably in healthcare or pharmaceutical distribution.
  • Strong understanding of PBM contracts, GPO agreements, and reimbursement structures.
  • Experience with product launches is preferred.
  • Knowledge of industry laws, regulations, and codes.
  • Ability to work independently, meet deadlines, and manage multiple projects.
  • Proficiency with MS Office.
  • Strong negotiation, analytical, and communication skills.
  • Soft skills include attention to detail, problem-solving, collaboration, time management, and adaptability.
Preferred Qualifications
  • Experience in Specialty Pharmacy, Distribution, or Healthcare law.
  • Knowledge of 340B, Medicaid, and regulatory frameworks.
Physical Requirements and Screenings
  • Must lift and carry 20 pounds.
  • Regularly sit, talk, hear, stand, walk, and use hands.
Travel and Work Location
  • This is a remote role, requiring availability during business hours.
  • Travel between offices as needed.
