Chance Rides is currently seeking a Contracts & Risk Manager to join our team.

General Purpose:

Reporting to the President & CEO, the Contracts & Risk Manager will support the full lifecycle of project-based contracts, typically ranging from 6 months to 3 years in duration and valued between $500K and $10M+. This role will serve as the company’s primary internal manager for contract process, contract administration, insurance coordination, document retention, and related risk-management activities across commercial, supplier, customer, and occasional government engagements.

This position is not intended to function as in-house counsel. The ideal candidate must be highly comfortable reading, interpreting, summarizing, and working with contractual language, but will coordinate with outside counsel, insurance brokers, legacy subject-matter resources, and company leadership when specialized legal, insurance, or business judgment is required. This role requires strong confidentiality, sound judgment, practical business sense, and the ability to translate complex contract and risk issues into clear recommendations for the President & CEO and leadership team.

Key Responsibilities

  • Key advisor for CEO and the organization on a variety of topics including strategy, contract, general business and negotiation risk mitigation, multi-national customers, etc. Includes risk register management and issue escalation.
  • Collaborate with project managers, finance, legal counsel, and executive leadership to ensure contract terms align with project scope, timelines, and risk profiles. Maintain compliance monitoring.
  • Review, draft, redline, and negotiate a wide range of contracts including vendor agreements, customer contracts, NDAs, lease agreements, and service-level agreements. Develop and maintain standard templates of various contract documents.
  • Support proposal development and bid responses, particularly for government RFPs, ensuring compliance and other applicable regulations.
  • Support internal and client-facing presentations by preparing contractual summaries, risk assessments, service bulletins, manual updates, language clarity, and compliance overviews.
  • Lead company-wide document retention and records-management discipline for contracts, legal matters, insurance, corporate records, customer and vendor agreements, major project documentation, claims, compliance records, and related business records. Coordinate with Engineering on boundaries for technical drawings, engineering data, product documentation, and controlled design records.
  • Evaluate, implement, and maintain a practical contract lifecycle management process, which may include a dedicated CLM platform, enhancements to existing systems, AI-enabled tools, SharePoint/Teams workflows, DocuSign, ERP integration, or other scalable solutions. Establish intake procedures, approval workflows, standard templates, version control, repository structure, key-date tracking, and reporting for contract status and risk visibility.
  • Serve as the management point for corporate compliance calendars, recurring filings, licenses, registrations, renewals, reporting deadlines, and similar administrative obligations. Coordinate with Finance, HR, outside counsel, insurance brokers, ownership, and other internal stakeholders to help ensure required filings and reporting obligations are completed on time.
  • Coordinate company insurance matters in partnership with insurance brokers, leadership, and outside counsel. Review contract insurance requirements, certificates, endorsements, indemnity language, liability limits, umbrella/excess coverage requirements, waiver of subrogation, additional insured language, and related risk-transfer provisions. Identify gaps between contractual obligations and available coverage and elevate material issues before commitments are made. Coordinate with external counsel as needed for complex or high-risk agreements and legal needs including incident and accident investigations.
  • Some infrequent travel could be required

Qualifications

  • Bachelor’s Business Administration, Legal Studies, Risk Management, Engineering Management, or a related field required.
  • Minimum of 5 years of experience in contracts management, contract administration, legal operations, risk management, commercial administration, project administration, or a related function. Experience supporting project-based, engineered, manufactured, construction, industrial, equipment, aerospace, transportation, government, or similarly complex commercial environments.
  • Ability to manage confidential information with utmost integrity, discretion, and executive-level judgment. Strong working knowledge of contract structure, risk allocation, indemnity, limitation of liability, warranties, insurance requirements, change orders, payment terms, confidentiality, dispute resolution, and document-control practices.
  • Strong written and verbal communication skills with the ability to explain complex terms, risks, and tradeoffs to non-legal stakeholders. Proficiency with Microsoft Office, SharePoint/Teams, DocuSign or similar tools, and the ability to help implement practical contract lifecycle management, document retention, and AI-enabled analysis tools.

Preferred Attributes

  • JD, MBA, paralegal certification, contract management certification, or other advanced credentials preferred but not required.
  • Experience supporting engineering and manufacturing projects. Mechanical or technical aptitude including hobbies can be beneficial.
  • Ability to work independently while managing multiple priorities in a fast-paced environment.
  • Collaborative mindset with an initiative-taking approach to problem solving.
  • Financial understanding and application to the role.
  • Familiarity with government contracting requirements, including FAR/DFARS, is preferred but not required.
  • Working knowledge of insurance concepts, including CGL, umbrella/excess coverage, professional liability, additional insured status, waiver subrogation, certificates of insurance, endorsements, and claims coordination.
