Qualifications

  • Bachelor’s degree in Business Administration, Law, or a related field.
  • 3-5 years’ experience in legal operations, paralegal roles, or compliance.
  • Paralegal certificate is preferred.

Job description

The Contracts and Compliance Specialist supports the Legal and Compliance Department in the administration of the company’s contract lifecycle management and corporate compliance programs.

This role manages administration and assists with contract preparation, preliminary negotiation, and compliance activities in accordance with the company’s policies, procedures, industry standards and attorney guidance.

The Contracts and Compliance Specialist serves as a key resource for contract lifecycle management and compliance monitoring.

Essential Functions

  • Coordinates the Legal and Compliance Department’s intake for all matters and gathers relevant information and documentation to facilitate attorney review when applicable.
  • Prepares and coordinates preliminary negotiations for certain contracts consistent with approved attorney standards and guidance.
  • Reviews contracts for consistency with company policies, procedures, and approved attorney terms.
  • Coordinates discussion regarding commercial terms with appropriate internal stakeholders.
  • Ensures that all modifications and amendments reflecting negotiations and commercial terms are incorporated into the final contract.
  • Generates, maintains, and audits the department’s contract lifecycle management (CLM) software.
  • Supports the drafting, maintenance, publication, and distribution of legal policies, procedures, templates, and other documentation.
  • Serves as front-line resource for compliance matters, coordinating inquiries and routing or escalating matters as may be necessary.
  • Conducts initial intake and preliminary review of reported compliance concerns and escalates in accordance with established processes.
  • Coordinates the company’s compliance training schedule, recordkeeping and reporting.
  • Supports administration of legal technologies including whistleblower reporting tools, CLM tools, and third-party due diligence platforms.
  • Reviews current processes and platforms to support continuous process improvements.
  • Performs recurring, day-to-day operational tasks that support the effective functioning of the Legal and Compliance Department, including vendor due diligence and sales order compliance.
