Job description

The Part-Time Contracts Specialist supports the President in the review, preparation, execution, and organization of contracts for our transportation services and logistics solutions. This role performs first-level review of customer (shipper), carrier, and vendor agreements against company contract standards, flags non-standard or high-risk terms, and prepares proposed redlines for the President’s review and approval. The position works directly with C-suite executives and corporate attorneys, and also works with internal teams to keep customer, carrier, vendor, and other business agreements accurate, current, and moving through the approval process. Strong attention to detail, sound judgment, timely professional communication, digital document editing skills, and experience with DocuSign are essential.

Part-Time Contracts Specialist responsibilities and essential job functions include, but are not limited to the following:
  • Prepare, format, and edit contracts, amendments, nondisclosure agreements, and related documents using approved templates and instructions.

  • Review documents for completeness, consistency, and accuracy before routing them for approval or signature.

  • Perform first-level review of customer (shipper)-drafted agreements against the company’s contract playbook and approved fallback positions, identifying deviations in key risk terms such as limitation of liability and cargo claims, indemnification, insurance requirements, payment and credit terms, consequential damages, termination, governing law, and non-solicitation.

  • Prepare proposed redlines and a short issue summary (customer language vs. company standard, with recommended position) for the President’s review and approval before any document is returned to a customer.

  • Compare customer insurance requirements (e.g., auto liability, cargo, general liability, contingent coverages, additional insured, and waiver of subrogation) to the company’s current coverage, and coordinate certificate of insurance requests with the company’s insurance agent.

  • Confirm the correct contracting entity, legal names, MC/DOT numbers, and signature authority on all agreements.

  • Make digital edits to Word and PDF documents, including revisions, tracked changes, and version updates.

  • Prepare and send documents through DocuSign; track signature status and follow up on outstanding items.

  • Coordinate with C-suite executives, corporate attorneys, sales, operations, and finance to support contract review and execution.

  • Prepare clear, concise contract briefings and issue summaries for C-suite executives and corporate attorneys; implement attorney-directed revisions accurately and track each open item to resolution.

  • Maintain organized electronic contract records in the company’s contract repository, using consistent naming and version control, including executed agreements, amendments, correspondence, and supporting documentation.

  • Track contract deadlines, renewals, notice-of-termination windows, certificate of insurance expirations, and outstanding approvals, and provide timely updates to internal stakeholders.

  • Maintain a contract status log and provide the President with a weekly report of agreements in review, open issues, cycle time, and approvals.

  • Maintain and update the clause library, contract playbook, and standard templates (e.g., Broker-Shipper Agreement, Broker-Carrier Agreement, NDA) as approved by leadership.

  • Respond to routine contract-related questions and elevate questions involving legal terms, risk, or policy to the President, C-suite executives, or corporate attorneys.

  • This position does not provide legal advice or approve contract terms. Final approval and signature authority rest with the President or a designated officer.

  • Handle confidential business information with discretion.

  • Regular and reliable attendance, with or without reasonable accommodation, is an essential function of this position and is crucial for maintaining workflow and productivity.

  • The above job functions are illustrative of the duties and responsibilities associated with this position and are not intended to be all-inclusive. Employee may be asked to perform other related duties to meet the ongoing needs of the organization.

Qualifications, Knowledge, Skills, and Abilities:
  • High School Diploma or GED required; associate or bachelor’s degree in Business Administration, Legal Studies, or a related field, or a paralegal certificate, preferred.

  • Two or more years of experience in contract administration, contract review, paralegal work, document control, legal support, or a related administrative role; experience reviewing shipper, carrier, or vendor agreements in freight brokerage, transportation, or logistics preferred.

  • Working knowledge of freight transportation contract concepts preferred, including broker vs. carrier roles and liability, Carmack Amendment cargo liability, limitation of liability, indemnification, insurance requirements, payment and credit terms, and accessorial charges.

  • Hands-on experience preparing, sending, tracking, and managing documents in DocuSign.

  • Proficiency in digitally editing Microsoft Word and PDF documents, including formatting, tracked changes, and version control.

  • Proficiency in Microsoft Office Suite, particularly Word, Excel, and Outlook.

  • Experience with contract lifecycle management (CLM) software or a transportation management system (TMS) preferred.

  • Ability to review detailed documents for accuracy, identify missing information, and follow established approval procedures.

  • Strong organizational and time management skills, with the ability to prioritize multiple requests and meet deadlines within a part-time schedule.

  • Clear written and verbal communication skills and the ability to work effectively with C-suite executives, corporate attorneys, and employees across departments.

  • Demonstrated executive presence, professionalism, and discretion; experience supporting senior executives or working alongside in-house or outside corporate counsel strongly preferred.

  • Ability to handle sensitive information confidentially and recognize when a contract question requires legal or leadership review, and to summarize risk issues clearly and concisely for decision-makers.

  • Ability to maintain regular and reliable attendance, with or without reasonable accommodation.

Work Environment and Physical Demands:
  • Office environment. Requires extended periods of computer work and reading detailed documents. Occasional lifting of up to 10 pounds.
