Our client, a leading global alternative investment firm, is seeking a Contract Specialist to join its Legal team in Coral Gables, Florida. This role will primarily focus on the review, negotiation, administration, and management of non-disclosure agreements (NDAs) and other routine commercial legal documentation supporting the firm's investment professionals.
The Contract Specialist will leverage AI-powered legal technology, including Harvey, to streamline contract review while ensuring agreements remain consistent with established legal standards and playbooks. The ideal candidate is an experienced corporate paralegal who is detail-oriented, highly organized, exercises sound judgment and enjoys partnering with business professionals in a fast-paced investment environment.
Key Responsibilities
Commercial Contract Review & Administration
- Review, draft, revise, and negotiate non-disclosure agreements (NDAs) utilizing standard templates and legal playbooks.
- Utilize Harvey and other AI-enabled legal technology to support contract review, issue identification, and document analysis.
- Identify contractual provisions requiring legal interpretation or deviations from approved standards and elevate matters to senior legal counsel.
- Maintain consistency across legal documentation while ensuring compliance with internal legal guidelines.
- Assist with the preparation, review, and maintenance of other routine commercial legal agreements as needed.
Legal Operations & Stakeholder Support
- Partner directly with investment professionals and internal business teams to facilitate the timely execution of legal documentation.
- Serve as a primary point of contact for NDA requests and related documentation inquiries.
- Coordinate document workflows between Legal and internal stakeholders to ensure efficient turnaround times.
- Build strong working relationships with senior business professionals while managing multiple priorities in a fast-paced environment.
Document Management & Process Improvement
- Maintain organized, accurate, and secure electronic legal records.
- Track agreement status through execution and follow up on outstanding documentation.
- Assist in refining legal templates, AI workflows, and documentation processes to improve efficiency and consistency.
- Identify opportunities to enhance contract review processes through technology and automation.
Qualifications
Required
- Bachelor's degree and/or Paralegal Certificate preferred.
- 5+ years of experience as a corporate paralegal or legal documentation specialist within a law firm or sophisticated in-house legal department.
- Significant experience reviewing, drafting, and negotiating commercial agreements, particularly non-disclosure agreements.
- Strong understanding of contract language and legal documentation.
- Excellent judgment with the ability to recognize issues requiring legal escalation.
- Outstanding interpersonal and communication skills with the confidence to work directly with investment professionals and senior business stakeholders.
- Exceptional attention to detail, organizational skills, and the ability to manage multiple priorities.
- Proficiency with Microsoft Office Suite and document management systems.
Preferred
- Experience within private equity, investment management, financial services, or another sophisticated corporate legal environment.
- Experience using Harvey or other AI-powered legal technology platforms.
- Background supporting transactional legal teams or corporate attorneys.
- Candidates with Big Law corporate paralegal experience seeking a long-term in-house opportunity are strongly encouraged to apply.
