Job summary

BlueCrest is seeking a Contract Attorney with 3–5 years of relevant experience to support commercial, contractual, and compliance matters, including software licensing for on-premises and SaaS.

The role requires strong drafting and negotiation skills, ability to work with Sales, Security, and Procurement, and to manage multiple priorities in a fast-paced environment.

JD and U.S. bar, attention to detail, and an independent work style are essential.

Qualifications

• J.D. from an accredited law school.
• Active bar in at least one U.S. state in good standing.
• 3–5 years of experience in commercial contracts and technology transactions.
• Experience drafting and negotiating software licensing agreements (on-premises and SaaS).

Responsibilities

• Review, draft, revise, and negotiate a variety of commercial agreements, including software licenses and SaaS contracts.
• Partner with internal stakeholders to understand objectives, identify risks, and provide practical guidance.
• Assist with RFPs and related customer submissions.
• Coordinate responses to security questionnaires, audits, and compliance requests.
• Review terms related to data security, IP, licensing, warranties, indemnification, and liability.
• Support contract lifecycle activities and ensure stakeholders understand obligations.
• Collaborate across Legal, Sales, Finance, Information Security, and Procurement.
