Job summary

Texas Capital Bank seeks a governance and documentation specialist to manage complex entity onboarding and ongoing authority matters. You will read and analyze governing documents, build structure charts, and prepare standardized packages for accounts and lending clients.

Collaboration with legal, compliance, treasury and credit teams is essential. The role requires experience with nested entities, fund structures, and KYC/KYB concepts, with strong communication and organizational skills.

Qualifications

• Experience with entity formation, governing documents, and complex structures.
• 3+ years in financial services entity formation or equivalent.
• Strong written and verbal communication; organized and detail-oriented.
• Ability to coordinate across legal, compliance, treasury, operations, and credit teams.
• Familiarity with KYC/KYB and AML concepts.

Responsibilities

• Read, analyze and confirm legal authority delegated under business documents (operating agreements, LPAs, bylaws, articles, trust agreements, resolutions, certificates).
• Construct and maintain legal structure charts for complex business structures, including nested entities and multi-SPV clients.
• Build and maintain authority matrices with documented evidence and effective dates.
• Prepare standardized entity documentation packages for account opening, lending clients and delegated authority/entitlements.
• Flag and route refresh triggers to internal stakeholders; coordinate across teams.
• Contribute to policy development and escalate novel structures through appropriate channels.
